What These Terms Cover

These Terms of Service govern your access to and use of the AuditSail platform. By creating an account you agree to be bound by these terms. If you are acting on behalf of an organisation, you confirm you have authority to bind that organisation.

AuditSail is intended for business use only. By signing up you confirm you are accessing the platform in a business capacity.

1. Who are we

AuditSail Limited ("AuditSail", "we", "us", "our") is a company incorporated in England and Wales.

2. Definitions

  • "Agreement" means these Terms of Service together with any order confirmation or subscription details agreed at sign-up.
  • "Content" means any material uploaded to or processed through the platform by you or your authorised users, including ad creative, images, video, call recordings, SMS and email templates, landing pages, documents, and PDFs.
  • "Customer" means the business or individual who accepts these terms and holds the account.
  • "External Partner" means another Organisation invited to collaborate within your account with permissions you define.
  • "Organisation" means the entity created at registration or joined via invitation, which forms the top-level account on the platform.
  • "Platform" means the AuditSail compliance monitoring software and associated services.
  • "Spectator" means an Organisation invited to a campaign solely for read-only visibility of the compliance review process.
  • "Subscription" means the plan selected, whether free tier, seat-based, or usage-based.
  • "Users" means individuals authorised by the Customer to access the platform as internal members of their Organisation.

3. Your Account

3.1 Registration

You agree to provide accurate information at registration and keep your account details up to date. If registering on behalf of an organisation you warrant you have authority to enter into this Agreement on its behalf.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must not share credentials with anyone outside your organisation or permit unauthorised access. Notify us immediately at privacy@auditsail.com if you become aware of any unauthorised use.

3.3 Organisations and External Partners

When you register you create an Organisation. You may invite External Partners — other Organisations registered on the platform — to collaborate within your account with permissions you define and control. Each Organisation independently accepts these terms upon registration and is bound by them regardless of whether they also participate as an External Partner within another Organisation's account.

3.4 Responsibility for Your Network

You are responsible for all activity within your account, including the activity of External Partners you have invited and any partners those External Partners bring into the chain below them. Where you invite an External Partner you warrant you have taken reasonable steps to ensure they are aware of and will comply with these terms.

3.5 Spectators

You may invite Spectators to any campaign within your account to grant read-only visibility to a third party such as a litigation funder or oversight body. Spectators have no ability to upload, modify, approve, or action content. You may elevate a Spectator to a decision-making role at your discretion, at which point their responsibilities are governed by the permissions you assign. You are responsible for ensuring any Spectator you invite has a legitimate reason to access your account and that doing so does not breach any confidentiality or data protection obligation.

3.6 Authorised Users

You may invite internal Users to your Organisation in accordance with your subscription plan. You are responsible for ensuring all Users comply with these terms. Any act or omission by a User is deemed to be your act or omission.

5. Subscriptions and Payment

5.1 Subscription Tiers

AuditSail offers a free tier, seat-based subscriptions, and usage-based billing. Features and limits applicable to each tier are set out at auditsail.com/pricing.

5.2 Credits

Certain features are powered by credits purchased in advance. Credits have no cash value, are non-transferable, and are not refundable except as set out in Section 5.6. Unused credits expire in accordance with the terms of the credit package purchased.

5.3 Payment

Fees are billed in advance for the relevant billing period and processed by Stripe, Inc. You authorise AuditSail to charge your payment method on a recurring basis. All fees are exclusive of VAT where applicable.

5.4 Price Changes

We will give at least 30 days' written notice of any price increase. If you do not wish to continue at the new price you may terminate before the increase takes effect. Continued use after the notice period constitutes acceptance.

5.5 Late Payment

If payment is not received by the due date we reserve the right to suspend access until payment is made. We will notify you before suspending access where reasonably practicable.

5.6 Refunds

Subscription fees are non-refundable except where required by law or where we have materially failed to deliver the service. Credits are non-refundable once purchased except in the event of platform error or termination by AuditSail without cause.

6. Acceptable Use

6.1 Prohibited Use

You must not:

  • Use the platform for any unlawful purpose or in breach of any applicable regulation, including data protection law, FCA rules, SRA standards, or ASA guidelines
  • Upload content that infringes third-party intellectual property rights or is defamatory, fraudulent, or misleading
  • Attempt to gain unauthorised access to the platform or its infrastructure
  • Reverse engineer, decompile, or attempt to extract the platform's source code
  • Resell or sublicense access to the platform without our prior written consent
  • Use automated tools to scrape or extract data from the platform in bulk
  • Transmit malware, viruses, or other malicious code

6.2 Content

You are solely responsible for all content you upload or process through the platform. You warrant you have all necessary rights, licences, and consents in respect of that content and that its processing does not infringe any third-party rights or breach any applicable law. Where content contains personal data of third parties you are responsible for ensuring it has been collected lawfully and that you have an appropriate basis to submit it to the platform.

7. Intellectual Property

7.1 The Platform

AuditSail owns all intellectual property rights in the platform including the software, AI models, compliance scoring methodology, and any aggregated or anonymised insights derived from platform usage. Nothing in these terms transfers any platform IP to you.

7.2 Your Content

You retain ownership of all content you upload. By uploading content you grant AuditSail a limited, non-exclusive licence to store, process, and analyse it solely to deliver the platform services. This licence terminates when your content is deleted in accordance with Section 9.

7.3 AI Model Improvement

AuditSail may use anonymised, aggregated data derived from platform usage to improve its AI models. This data cannot be used to identify you, your organisation, or any individual. Raw call recording data is never used for this purpose. You may opt out by contacting privacy@auditsail.com.

7.4 Feedback

If you provide feedback or suggestions about the platform you grant AuditSail a perpetual, royalty-free licence to use that feedback without restriction or compensation.

8. Data Protection and Joint Controller Arrangement

8.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy at auditsail.com/privacy, which forms part of this Agreement.

8.2 Joint Controller Arrangement

Where you use the platform to process content containing the personal data of third parties, AuditSail and you act as joint controllers under Article 26 of the UK GDPR. Responsibilities are allocated as follows:

8.3 Your Data Protection Obligations

You warrant that you have a lawful basis for submitting any personal data to the platform, have provided appropriate transparency to individuals whose data you submit, and will comply with all applicable data protection law in connection with your use of the platform.

8.4 Data Subjects

We will notify you promptly of any data subject request we receive relating to content you have submitted. We will cooperate with any legitimate request and direct individuals appropriately.

9. Term, Termination and Suspension

9.1 Term

This Agreement begins when you create an account and continues until terminated.

9.2 Termination by You

You may terminate your subscription at any time by giving 30 days' written notice. No refund will be given for any remaining prepaid period except as set out in Section 5.6.

9.3 Termination by AuditSail Without Cause

We may terminate this Agreement for any reason on 30 days' written notice. We will refund any prepaid fees and unused credits relating to the period after termination.

9.4 Termination or Suspension for Cause

We may suspend or terminate your account immediately if:

  • You materially breach these terms and fail to remedy the breach within 7 days of written notice where capable of remedy
  • You materially breach these terms in a way incapable of remedy
  • You fail to pay fees within 14 days of written notice
  • You become insolvent or enter administration or any analogous insolvency process
  • We are required to do so by law or regulatory authority

9.5 Effect of Termination

On termination your right to access the platform ceases immediately. Your content will be deleted in accordance with our Privacy Policy. Each party's accrued rights and obligations remain unaffected. Sections 6, 7, 8, 10, 11, 12, and 13 survive termination.

10. Confidentiality

Each party will keep confidential all information received from the other that is marked as confidential or ought reasonably to be understood as such. For AuditSail this includes platform functionality, pricing, AI methodology, and roadmap. For customers this includes business data, content, and compliance information submitted to the platform. Neither party will disclose such information without the other's prior written consent except to employees or advisers who need to know it for the purposes of this Agreement, or where required by law or regulatory authority. Confidentiality obligations continue for three years following termination.

11. Warranties and Disclaimers

11.1 AuditSail's Warranties

AuditSail warrants it will provide the platform with reasonable skill and care and has the right to grant you access under these terms.

11.2 Disclaimers

To the fullest extent permitted by law:

  • The platform is provided on an "as is" and "as available" basis
  • AI analysis outputs and compliance scores are for informational purposes only and may not be accurate, complete, or up to date
  • The platform is not a substitute for legal advice
  • AuditSail does not guarantee any regulatory outcome
  • Customers remain solely responsible for their own regulatory compliance

11.3 Your Warranties

You warrant you have full authority to enter into this Agreement, your use of the platform will comply with all applicable laws, and all content you submit is submitted lawfully and does not infringe third-party rights.

12. Limitation of Liability

12.1 Exclusion of Consequential Loss

Neither party shall be liable for any indirect or consequential loss including loss of profit, revenue, business, anticipated savings, data, reputation, or regulatory fines, even if advised of the possibility of such loss.

12.2 Liability Cap

AuditSail's total aggregate liability arising out of or in connection with this Agreement shall not exceed the total fees including credits paid by you in the 12 months immediately preceding the event giving rise to the claim. You acknowledge that this cap reflects a reasonable allocation of risk between the parties and forms an essential basis of the bargain between us.

12.3 Exceptions

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.

13. General

13.1 Governing Law

This Agreement is governed by the laws of England and Wales. Each party submits to the exclusive jurisdiction of the courts of England and Wales.

13.2 Entire Agreement

This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior representations, agreements, and understandings. Each party acknowledges it has not relied on any representation not set out in this Agreement.

13.3 Changes to These Terms

We may update these terms from time to time. We will notify you at least 30 days before material changes take effect. Continued use after that date constitutes acceptance. You may terminate before changes take effect if you do not agree.

13.4 Assignment

You may not assign your rights or obligations without our prior written consent. AuditSail may assign this Agreement to a successor entity in a merger, acquisition, or sale of assets, provided the successor assumes all obligations under this Agreement.

13.5 Waiver

A party's failure to enforce any right under this Agreement does not waive that right or any other right.

13.6 Severance

If any provision is found invalid or unenforceable it shall be modified to the minimum extent necessary or severed. Remaining provisions continue in full force.

13.7 Force Majeure

Neither party shall be liable for failure or delay caused by circumstances beyond its reasonable control. The affected party shall notify the other promptly and use reasonable endeavours to resume performance.

13.8 Notices

Notices must be in writing. Notices to AuditSail should be sent to privacy@auditsail.com or our registered address. Notices to you will be sent to the email address on your account and are deemed received the next business day.
